These General Terms and Conditions of Sale (these “Terms”) govern the sale of travel packages, unique travel experiences, and curated visits to explore ancient Rome’s most iconic and fascinating sites (the “Services”) by American Institute for Roman Culture, a U.S. based non-profit, operating as Ancient Rome Live (“ARL” or “we”), on the website https://ancientromelive.org/ (the “Site”). We are a free online learning platform that presents original content on ancient Rome and the Roman Empire.

The Services shall only be purchased for personal use, and not for resale or other commercial purposes, by users who are at least eighteen (18) years of age (“you”).

By booking a trip with us through the Site you expressly accept these Terms. ARL’s acceptance of your booking and agreement to make the Services available to you, is expressly conditioned on your acceptance of these Terms.

Before making a booking with us you must ensure that you have read and understood these Terms (and ask us any questions you may have). Please be aware that these Terms contain waivers of liability as well as waiver of class action and venue selection and notice clauses. By confirming your booking, you are accepting all the Terms laid out below and acknowledging that you have read these Terms and agree with them. The services to be provided are those referred to in your booking confirmation invoice.

SECTION I

TRAVEL INSURANCE

Travel insurance protection is encouraged for all our travelers and should be taken out at the time of booking. We also strongly encourage the purchase of additional “cancel for any reason” coverage. Travel protection plans including “cancel for any reason” coverage shall be purchased in close conjunction with your travel purchase, so you should contact your insurance agent as soon as possible after booking.

If you choose to book a tour and/or travel without adequate coverage, ARL will not be liable for any losses, damages, costs, or expenses howsoever arising, including but not limited to those related to trip cancellation, interruption, delays, medical expenses, or loss of personal property, for which adequate trip protection plan coverage would otherwise have been available.

If you have them, you must provide us with your travel insurance policy number and the insurance company’s 24-hour emergency contact number before the first day of the trip (and also include the same on any document that require them and that we will ask you to complete before traveling, e.g., on the Waiver of Liability & Consent Agreement we might provide you with). If you have travel insurance connected to your credit card or bank account, please ensure you have details of the participating insurer, the insurance policy number and emergency contact number with you in addition to the relevant bank’s name and credit card details.

ARL is not qualified to answer technical questions about the benefits, exclusions, and conditions of travel insurance plans. ARL cannot evaluate the adequacy of the prospective insured’s existing insurance coverage. If you have any questions about your travel protection, call your insurer or insurance agent or broker.

Certain countries have a requirement for foreign visitors to have valid insurance coverage, including medical coverage. ARL cannot be held responsible for denied entry if a traveler is unable to provide proof or details of required insurance coverage to local authorities, or if a traveler is denied entry for any reason whatsoever.

Failing to purchase an adequate travel protection plan could result in the loss of your travel cost and/or require additional expenses to remedy the situation. You acknowledge that without adequate insurance coverage, there may be no way to recoup any losses, costs, or expenses incurred.

PERSONAL TRAVELER INFORMATION

You must provide ARL with all the requested personal information which includes, but are not limited to, your full name as it appears on your passport, date of birth, nationality, passport number, passport issuance and expiration date and any pre-existing medical conditions you have which may affect your ability to take part in the trip you booked. Failure to provide requested information may result in additional charges or non-refundable cancellation of your trip.

2.a. Age Requirements

Minimum Age: for the majority of our trips the minimum age is eighteen (18) at the time of travel. In the event a different age is required, it will be indicated.

Maximum Age: we have no upper age limit. However, we remind you that our trips can be physically demanding and travelers must ensure that they are suitably fit to allow full participation.

2.b Health Requirements

It is your responsibility to ensure that you obtain proper and detailed medical advice for the latest health requirements and recommendations for your destination at least two (2) months prior to travelling.

2.c Pre-Existing Medical Conditions/ Persons with Disabilities

It is essential that you advise us before booking a trip if you have any disability or pre-existing medical condition that may affect your participation in the trip you booked, or if you have any special needs as a result of any disability or medical condition so that we can assist you in considering the suitability of the travel arrangements and/or in making the booking.

Due to the nature of many of the destinations we travel to, some locations may be unsuitable for individuals who use a wheelchair or have lack of mobility. However, we will be delighted to discuss the feasibility of your participation in any of our trips.

Please note that accommodations outside of the United States may not be in compliance with the Americans with Disabilities Act and, for example, may not have wheelchair accessibility. ARL will communicate requests for accessibility arrangements to its suppliers but will not be responsible if accommodations compliant with the Americans with Disabilities Act are not available. Any accommodations provided will be at the sole expense of the traveler requiring the accommodation.

If our suppliers are unable to offer assistance to travelers with limited or restricted mobility, all such assistance will need to be provided by whoever the traveler is traveling with. Travelers with disabilities must notify ARL at the time of booking of the status and of the identity of their non-discounted, paid travel companion who will be responsible for providing all necessary assistance.

We may request that you provide a letter from your doctor confirming your fitness to travel.

PASSPORTS

You must carry a valid passport. Your passport must be valid for six (6) months beyond the duration of the trip or for any longer period required by the country associated with the trip you booked. We are not responsible if you are refused entry to a country because you lack the correct passport.

VISAS

You must have obtained all of the appropriate visas, permits, and certificates for the countries which you will visit during your trip. It is your responsibility to ensure that you are in possession of the correct visas, permits, and certificates for your trip.. We are not responsible if you are refused entry to a country because you lack the correct visa or other travel documentation.

PHOTOS AND MARKETING

You acknowledge and agree that ARL and its suppliers may use images and videos of you and of your likeness taken during the trips you participate in for advertising and promotional purposes in any medium they choose. You grant us and our suppliers an irrevocable, perpetual, royalty-free, worldwide license to use such images and videos for publicity and promotional purposes.

AUTHORITY ON TOUR

Our trips are run by a local tour guide. The decision of the tour guide is final on all matters likely to affect the safety or well-being of any traveler or staff member participating in the trip. If you fail to comply with a decision made by a tour guide or interfere with the wellbeing or mobility of the group, the tour guide may direct you to leave the trip immediately, with no right to refund. We may also elect not to allow you to participate in any future trips with us, regardless of whether such trips have already been booked.

You must at all times comply with all the laws and regulations of all countries visited.

MEETUP TOUR DATES & VALIDITY

Dates are itineraries are indicative only. Our trips are guaranteed to depart only once they have either:

  1. one fully paid booking, if the itinerary does not have a minimum participation requirement; or
  2. the minimum participation requirement has been met.

This means that at times we can have groups with a small number of travelers.

CHANGE OF ITINERARY

You acknowledge and agree that the nature of trips we offer requires considerable flexibility and you should anticipate the possibility of changes or alternative arrangements. While the itinerary made available for each trip reflects the types of activities anticipated, routes, schedules, specific activities, amenities, and modes of transport (collectively, the “Itinerary”) may be modified at any time without prior notice due to local conditions or other unforeseen circumstances. While we endeavor to operate all trips as described we reserve the right to change any detail of the trip including but not limited to routes, schedules, specific activities, amenities, and modes of transportation. Please refer to updates sent by email before departure for the most recent updates to the relevant Itinerary.

Before departure: if we make a major change to the Itinerary, we will inform you as soon as reasonably possible if there is time before departure. The definition of a major change is deemed to be a change affecting at least one (1) day in five (5) of the Itinerary.

After departure: we reserve the right to change an Itinerary after departure due to local conditions or other unforeseen circumstances outside of our control. In such emergency circumstances, the additional cost of any necessary itinerary alterations will be covered by you. Please note we are not responsible for any incidental expenses that may be incurred as a result of the change of Itinerary such as visa fees, vaccination costs, or the price of non-refundable flights.

DESTINATION RISK

Traveling to certain destinations may involve greater risk than others. ARL urges travelers to remain informed on a daily basis as to current news, as well as to review relevant travel prohibitions, warnings, announcements, and advisories. Should you choose to travel to a country for which a travel warning or advisory has been issued, you acknowledge and agree that ARL will not be liable for damages, losses, or expenses that result from travel to such destinations.

In addition, you acknowledge and agree that you should consult with government websites to ensure that you are in compliance with all requirements for admittance into that country as well as understanding local laws that govern travel within such country.

Travelers are encouraged to check the list of countries that require airlines to treat the passenger cabin with insecticides prior to the flight or while on the aircraft on the U.S. Department of Transportation’s website, as this list is updated from time to time: http://www.dot.gov/office-policy/aviation-policy/aircraft-disinsection-requirements.

CLAIMS & COMPLAINTS

If you have a complaint about your trip or our Services, please inform your group leader or our local representative at the time the issue arises in order that they can attempt to resolve the matter. If a resolution is not reached through these means, then any further complaint should be communicated in writing to us within thirty (30) days of the end of the tour by writing to info@ancientromelive.org.

SECTION 2: PAYMENT TERMS

PRICES

All prices shall be in U.S. dollars and shall be exclusive of applicable sales taxes and processing fees. All applicable sales taxes and processing fees shall be added to the price at check out, and you shall have an opportunity to review all such taxes prior to completing and submitting an order. The amount of sales taxes and other charges shall depend on various factors, including, without limitation, the type of Service purchased and the price of the Service. Sales tax regulations may change between the time you make a booking and the time payment is cleared, which may affect the calculation of sales taxes. The amount appearing on the checkout page may differ from the sales taxes ultimately charged, as indicated in the invoice you will receive with the booking confirmation e-mail.

PRICE VARIABILITY

Our trip prices are subject to variable and seasonal pricing. This means that our trip prices may vary at any time in accordance with various factors including but not limited to demand, market conditions, exchange rates, and availability. It is possible that different travelers on the same trip have been charged different prices. If you are satisfied with the price displayed, we recommend you book the trip promptly. The latest pricing is available on our website.

We reserve the right to change the prices of any Services at any time, at our sole discretion, without prior notice. We shall not be liable to you or any third party for any price changes.

Further, in the event that any trips on the Site are mispriced, ARL shall have the right to refuse or cancel any bookings placed for trips listed at the incorrect price, regardless of whether you have received a booking confirmation, paid the deposit or the entire price for the trip. If the booking is cancelled by ARL after payment has already been made, ARL will promptly refund the amount of the incorrect price to you.

ACCEPTED PAYMENT METHODS

Payment for the Products may be made using various methods, including via credit card, PayPal, Zelle, check, and wire transfer.

All payments made through the Site are secure and encrypted; for more information on ARL’s use and collection of your payment information, please visit our Privacy Policy at [https://ancientromelive.org/privacy-legal-information/]. Please note that we do not collect and maintain your payment information directly, instead we utilize a third-party payment processor to collect and facilitate all online payments on our behalf.

DISCOUNTS AND SALES

From time to time, we reserve the right to run sales, flash discounts, or promotional prices for our tours. Each sale is exclusive and will not apply to bookings previously made. For avoidance of doubt, the retroactive application of a discount on a previous booking is not allowed. Any reduced pricing or discounts that may become available after you have paid the deposit for a specific booking will not apply to your booking.

If you wish to cancel your booking to take advantage of a cheaper price, full cancellation conditions apply. See Section 3 below for more information on cancellation policies.

If you wish to transfer destinations after booking a trip with a discount, you are not entitled to a transfer of the discount to the booking of your new destination. If a discount is not available at the time of transfer for your chosen destination, the discount will not be applied, and you will be responsible for paying the full price. For avoidance of doubt, discounts only apply at the time of booking and for the trip booked.

SURCHARGES

We reserve the right to impose surcharges up to thirty (30) days before departure due to unfavorable changes in exchange rates, increases in transportation costs, increases in local operator costs, taxes, or if government action should require us to do so.

PRICE INCLUSIONS

The package price of your trip includes the following items:

6.a Ground Transportation

All ground transport listed in the Itinerary. You must be on time for all transportation. There will be no refund for missed or unused transportation.

6.b Activities & Sightseeing

Sightseeing tours and activities are included as stated in each individual Itinerary. These tours and activities are designed to accommodate individuals as well as groups. As a courtesy to others in the tour and/or activity, it is mandatory that you be on time for all scheduled experiences. Tours and activities will begin on time and failure to arrive will be considered a no-show for which no refunds will be available. It is essential that you keep in mind that tour and activity times are set to accommodate climate, crowd size and best viewing options for our groups. At times, early morning departure times may help create a better experience. Late arrivals cannot be accommodated.

6.c Food & Meals

Included meals are as indicated in the Itineraries. Requests for special diets must be made at the time of booking; however, it may not be possible to cater to special dietary requirements at certain destinations we offer. ARL and its representatives assume no responsibility for accommodating food allergies, dietary requirements, or restrictions, and shall not be liable for any resulting issues, incidents, or adverse outcomes. We will inform our suppliers of your request; however, we cannot guarantee that your dietary requirements will be accommodated.

6.d Local Guide or Expert

The services of a local tour guide as described in the Itinerary.

PRICE EXCLUSIONS

Any items and matters not referred to in your Itinerary are not included in the tour price. This can include, but is not limited to:

  • International or internal flights unless specified;
  • Accommodations;
  • Airport transfers, taxes and excess baggage charges unless specified;
  • Meals other than those specified in the Itinerary;
  • Visa and passport fees;
  • Travel insurance;
  • Tips;
  • Optional activities (more details in section below); and
  • Personal expenses.

The above list is illustrative and not a complete list of every item not included.

The price of the booking does not include costs or expenses, including your return home, if you leave the tour for any reason, whether voluntarily, as a result of our decision due to behavior that disrupts the trip, due to illness, action by any government, or any other cause.

OPTIONAL ACTIVITIES

In certain destinations, ARL may offer travelers the option to sign up for optional activities. This is done during the booking process and paid for as a line item on your invoice. In some cases, last-minute additions of optional activities can be done with the local guide, based on availability. If you sign up for an optional activity while on a trip and we have a card on file for you, such card will be automatically charged. Cancellations of optional activities may result in a full or partial refund depending on the activity. Please ask what your refund options are before cancelling an optional activity on the trip. Optional activities are not included in the trip price and are not included in the tour package.

During the trip, when not on scheduled activities, you are welcome to find your own optional activities outside of those provided by ARL at your own expense. You accept that any assistance given by your tour guide in arranging optional activities not made available by ARL does not render ARL liable for them in any way. The contract for the provision of such activities will be between you and the optional activity provider.

NON-REFUNDABLE DEPOSIT & BOOKING CONFIRMATION

You are required to pay a non-refundable $1,500 deposit at the time of booking. The receipt by ARL of this non-refundable deposit confirms your booking and you will receive a confirmation email detailing the terms of your booking and including the relevant invoice. Once the confirmation email is sent by ARL, a contract between you and ARL will be established, effective from the date of the invoice included in the email. All deposits are non-refundable under all circumstances, unless otherwise specified in writing.

If your booking is made within ninety (90) days of the departure date, then the full amount of the booking is due and payable at the time of booking and serves as your deposit.

FINAL BALANCE PAYMENTS

Please refer to your booking confirmation email for specific dates, deadlines, and details regarding final payments for your trip. For standard trips, the balance payment is due ninety (90) days before the departure date, unless otherwise specified in writing. ARL’s payment system allows you to input the dollar amount for each payment you submit. As such, you are welcome to make as many payments in any dollar amount as you prefer before the final payment is due. The final payment deadline is ninety (90) days before the trip start date.

If you have not paid the full balance, requested a cancellation and/or transfer of your booking to an alternative departure date by the final payment deadline and we have a credit card on file for you, such card will be automatically charged with the remaining balance payment. A $100 late payment fee will also be levied. Additionally, ARL reserves the right to treat your booking as cancelled, in which case the cancellation policy detailed in Section 4.1.1c will apply.

SECTION 3: CANCELLATIONS

By using our Services, you accept and agree our cancellation policy.

CANCELLATION BY YOU

In order to request a cancellation for your booking, you must email ARL at info@ancientromelive.org. The receipt of your email by ARL serves as your cancellation request date. You are strongly advised to purchase cancellation insurance at the time of booking to ensure coverage in the event of voluntary cancellation.

You acknowledge and agree that cancellation fees may be levied by suppliers including but not limited to accommodation providers, travel agents or third-party tour and transport operators in the event you cancel your booking and that you will be solely responsible for such fees. All suppliers have their own cancellation policies, which apply to your booking. Upon receipt of your cancellation request we will contact our suppliers for any applicable refunds subject to the suppliers’ terms and conditions. If you are entitled to a refund, please note that the supplier is responsible for this refund, not ARL. Suppliers may choose to provide a travel voucher or credit in lieu of refund. We are not responsible for a supplier’s failure to pay a refund or for a supplier’s bankruptcy or insolvency.

1a. Cancellation Request 91 Days or More Before Departure Date.

If your cancellation request date is ninety-one (91) days or more before the scheduled departure, you are eligible for a one-time transfer of your balance and deposit to an alternative departure date or to another tour within the calendar year. Alternatively, you are eligible for a refund of money paid excluding the deposit amount as well as a 7% transaction fee.

1b. Cancellation Request 90 Days Before Departure Date.

If your cancellation request date is ninety (90) days before the scheduled departure, you are eligible for a fifty percent (50%) refund of the money paid or the full deposit, whichever is greater. On a case-by-case basis, at ARL’s discretion, ARL can offer a one-time transfer of your balance to an alternative departure date or to another tour within the calendar year. In this case, your deposit will be held by ARL and not applied to the departure date or tour you transfer to.

1c. Cancellation Request 60 Days or Less Before Departure Date.

If your cancellation request date is sixty (60) days or less before the scheduled trip departure, you are not eligible for a balance transfer. You will not be entitled to any refunds, including for deposits or balance payments.

1d. Cancellation While on a Trip.

If you fail to join a tour, join it after departure, or leave it prior to its completion, no refund will be made.

CANCELLATION BY THE SUPPLIER

We will inform you as soon as reasonably possible if a supplier needs to make a significant change to your confirmed booking or to cancel. We will also liaise between you and the supplier in relation to any alternative arrangements offered by the supplier, but we will have no further liability to you in connection with the supplier’s changes or cancellations.

CANCELLATION BY ANCIENT ROME LIVE

ARL reserves the right, at any time for any reason, to cancel, refuse to process or refuse to accept a booking, in whole or in part, even after an email confirmation has been sent to you. If we cannot fulfill, cancel, or refuse to process a booking, other than due to a Force Majeure event as described below, you can receive a one-time transfer for all amounts paid to an alternative departure date or to another tour. Alternatively, you can receive a refund. Deposits are non-refundable under all circumstances. We are not responsible for any incidental expenses that you may have incurred as a result of your booking including but not limited to visas fees, vaccinations and travel insurance costs or the price of non-refundable flights.

We may cancel an individual booking if the participant has significantly violated community standards in our membership, Facebook group, or any other Service we offer. We may also cancel a booking if a participant is abusive to our staff verbally, in writing, or physically. Should we cancel a booking for these reasons, the participant forfeits costs associated with the cancelled booking at ARL’s discretion. At a minimum, the participant will incur a $200 administrative fee plus a 10% transaction fee, and at a maximum, the entire payment may be forfeited.

TRANSFERRING DATES

With written notification to info@ancientromelive.org at least ninety-one (91) days before your original scheduled departure date, you can request changes to your trip dates with no change fees.

If you notify us about your transfer request ninety (90) days or less from the original scheduled departure date, you are not entitled to a date transfer. You are subject to the cancellation terms and conditions detailed above in Section 3.1. No changes of any nature are permitted to your booking within fourteen (14) days of departure.

TRANSFERRING DESTINATIONS

With written notification at info@ancientromelive.org at least ninety-one (91) days before your original scheduled departure date, you can request changes to your trip destination with no change fees.

If you notify us about your transfer request ninety (90) days or less from the original scheduled departure date, you are not entitled to a destination transfer. You are subject to the cancellation terms and conditions detailed above in Section 3.1. No changes of any nature are permitted to your booking within fourteen (14) days of departure.

PRICE ADJUSTMENTS

In the event that the balance paid for a booking is transferred, as detailed above, to an alternative departure date or to another tour that is subject to a higher cost, you shall be responsible for paying the difference between the original booking price and the cost of the alternative departure date or tour.

DISPUTED CHARGES AND CHARGEBACKS

In certain cases, you have the ability to dispute charges with credit card companies (“Chargebacks”). Before initiating a Chargeback, we ask you first to contact us to discuss any questions or concerns about our charges. We will work with you in attempting to resolve your concerns. ARL retains the right to dispute any Chargeback that is improper and recover any costs, including attorney’s fees related to improper Chargebacks. Additionally, in the event of an improper Chargeback, we retain the right to cancel any travel reservation related to that improper Chargeback. The following non-exhaustive list of Chargeback scenarios are improper, and we retain the right to investigate and rebut any such Chargeback claims:

  • Chargebacks resulting from non-cancellable reservations, whether or not the reservation is used.
  • Chargebacks resulting from charges authorized by family, friends, associates or other third parties with direct access to your credit card. This does not include credit card fraud.
  • Chargebacks arising from inconsistency or inaccuracy with regard to the supplier’s product description.
  • Chargebacks resulting from Force Majeure or other circumstances that are beyond the control of ARL or any supplier.
  • Chargebacks resulting because you do not agree with our cancellation policy.

FORCE MAJEURE

ARL assumes no liability for any loss, damage, delay, or cancellation resulting in whole or in part from an Act of God or any other force majeure condition, including, without limitation: fire, volcanic eruption, hurricane, environmental pollution or contamination, inclement weather, earthquake, low or high water levels, flood, water or power shortages or failures, tropical storms or hurricanes, riots or civil commissions or disturbances, and any other acts of a similar nature, sabotage, arrests, strikes or labor disruptions, restraint of rulers or peoples, expropriations, acts of terrorism, war, insurrection, quarantine restrictions, government health advisories, epidemics, pandemics, or warnings or alerts of any kind of nature, government seizures, refusal or cancellation or suspension or delay of any government authority or any license, permit or authorization, damages to its facilities or the travel supplier and its facilities, or any other unforeseen circumstances or any other factors unforeseen by ARL that impacts negatively on, or hampers, its ability to fulfill any of its contractual conditions (collectively, “Force Majeure”). In the circumstances amounting to Force Majeure, we will not be required to provide any refund, compensation, or reimbursement to you, although if we can recover any monies from our suppliers relating to your booking, we will refund these to you without any charge by ARL.

SECTION 4: CONTRACT TERMS

CHANGES TO THESE TERMS AND CONDITIONS

ARL reserves the right to change and modify these Terms at its sole discretion, any time, and for any reason. The terms in effect at the time of your booking shall govern that booking. You are therefore responsible for familiarizing yourself with the applicable terms at the time of booking. Your continued use of our Services including continuing to use or maintain any bookings after any changes to these Terms constitutes your acceptance of and agreement to be bound by the updated Terms.

PRIVACY POLICY AND COOKIE POLICY

Any personal information that we collect about you may be used for any purpose associated with the operation of a trip or to send you marketing material in relation to our events and special offers. The information may be disclosed to our agents, service providers or other suppliers to enable us to operate the trip you booked. The Privacy Policy and the Cookie Policy are hereby incorporated into these Terms by reference and form an integral part thereof.

CUSTOMER SERVICE

ARL’s customer service department is available for all inquiries regarding services, booking, and trips, complaints, requests for information and, more generally, these Terms by writing to info@ancientromelive.org.

GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and their interpretation shall be governed by the laws of the State of New York without regard to its conflicts of law rules. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to any purchase or sale hereunder.

Any dispute under these Terms must be brought in the state or federal courts of New York, New York.

You expressly submit to the jurisdiction of such courts and waive any claims that such courts are an inconvenient forum.

CLASS ACTION WAIVER

THE PARTIES AGREE THAT ANY DISPUTE BETWEEN THEM WHETHER RESOLVED THROUGH COURT PROCEEDINGS OR ANY OTHER FORM OF DISPUTE RESOLUTION, SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY. THE PARTIES FURTHER AGREE NOT TO BE A CLASS REPRESENTATIVE, CLASS MEMBER, OR OTHERWISE PARTICIPATE IN A CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED PROCEEDING AGAINST EACH OTHER FOR ANY DISPUTE. THE PARTIES ALSO AGREE THAT NO JUDGE OR OTHER DECISION-MAKER MAY CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

NOTICE OF CLAIM

You understand and agree that no claims will be considered and that you will not bring suit against ARL unless you have first provided a written notice of claim to ARL including the details of the same at info@ancientromelive.org within thirty (30) days after the trip or cancellation of the trip.

ACCEPTANCE OF RISK

You acknowledge and agree that participation in the trip involves inherent and personal risks. You will be visiting places where the political, cultural, and geographical attributes present dangers and physical challenges greater than those present in our daily lives. You acknowledge and accept that travel involves inherent risks and uncertainties, including but not limited to the risk of infection, illness, and death. Inherent risks include, but are not limited to, risk of injury or death from motor vehicles collisions, animals, roadway hazards, slips, falls, criminal or terrorist acts, government actions, consumption of alcoholic beverages, tainted food, non-potable water, exposure to the elements, including heat, cold, sun, water, and wind, your own negligence and/or the negligence of others, including tour guides, other travelers, ARL and its employees, agents and/or representatives, attack by or encounter with insects, reptiles, and/or animals, accidents or illness occurring in remote places where there are no available medical services, fatigue, chill, overheating, and/or dizziness, known or unknown medical conditions, physical excursion for which you are not prepared or other such accident, the negligence or lack of adequate training of any third-party providers who seek to assist with medical or other help either before or after injuries have occurred, accident or illness without access to means of rapid evacuation or availability of medical supplies or services, and the adequacy of medical attention once provided.

You acknowledge and accept that the description of these risks is not complete and that unknown or unanticipated risks may result in injury, illness, or death.

RELEASE

You unconditionally release ARL and its present former and future directors, officers, owners, shareholders, partner, sponsors, employees, agents, attorneys, parent, subsidiaries, successors, affiliated or related entities, insurance carriers and assignees (hereinafter collectively referred to as the “Released Parties”), from and against any and all claims, liabilities, demands, actions, causes of action, costs and expenses, whatsoever, at law or in equity, known or unknown, anticipated or unanticipated, suspected or unsuspected, which you or your successors-in-interest ever had, now have, or may, shall, or hereafter have by any reason, matter, cause or thing whatsoever, arising out of or in connection with the booking of your trip, any cancellation, and your participation in the trip you booked through the Site, including all activities undertaken during such trip, whether included in the Itinerary or not, and the services provided by ARL’s suppliers.

It is agreed and understood that the releases being provided by you shall apply to all unknown and unanticipated claims, as well as those known and anticipated.  IN CONNECTION WITH THE FOREGOING, IF YOU ARE A CALIFORNIA RESIDENT, YOU HAVE BEEN MADE AWARE OF, HAS READ, AND UNDERSTANDS THE PROVISIONS OF CALIFORNIA CIVIL CODE SECTION 1542, WHICH PROVIDES:

“A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

YOU EXPRESSLY, KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY AND ALL RIGHTS, BENEFITS, AND PROTECTIONS OF CALIFORNIA CIVIL CODE SECTION 1542 AND OF ANY OTHER APPLICABLE STATE OR FEDERAL STATUTE, COURT DECISION, OR COMMON LAW PRINCIPLE LIMITING THE SCOPE OR EFFECT OF THIS RELEASE.  YOU HEREBY SPECIFICALLY ACKNOWLEDGE THAT YOU HAD THE OPPORTUNITY TO DISCUSS THE MEANING, LEGAL EFFECT, AND IMPORT OF THIS RELEASE WITH LEGAL COUNSEL OF THEIR CHOOSING.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ARL and hold harmless the Released Parties, jointly or severally, against any loss or liability whatsoever, including reasonable attorney’s fees, caused by any action or proceeding before any court or government agency, commission, division or department of any state, federal or local governing body, which is brought by you or your successors-in-interest, if such action or proceeding arises out of or is related to any claim, demand or cause of action released herein.

In addition to the foregoing, you agree to indemnify, defend, and hold harmless the Released Parties, jointly or severally, against any loss or liability whatsoever, including reasonable attorney’s fees, caused by any action or proceeding before any court or government agency, commission, division or department of any state, federal or local governing body, if such action or proceeding arises out of or is related to any of your actions or inactions in connection with your participation in a trip booked through the Site, and in the activities you take part to during such trip, whether included in the Itinerary or not.

LIMITATION OF LIABILITY

UNLESS OTHERWISE SPECIFIED IN WRITING, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND ARL MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE SERVICES PROVIDED, AND, TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, ARL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THERE ARE NO WARRANTIES, EXPRESS OR IMPLIED, WHICH EXTEND BEYOND THE DESCRIPTION OF THE SERVICES CONTAINED ON THE ORDER CONFIRMATION.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, IN NO EVENT WILL ARL, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS, LICENSORS, OR OTHER REPRESENTATIVES BE LIABLE FOR ANY INJURY, LOSS, DAMAGE, OR CLAIM FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, REVENUE, OPPORTUNITY OR DATA, OR DELAY, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER LEGAL THEORY IN CONNECTION WITH ANY BOOKING MADE THROUGH THE SITE AND YOUR PARTICIPATION TO ANY TRIP BOOKED THROUGH THE SITE.

CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

NOTWITHSTANDING THE FOREGOING, IN THE EVENT THAT ARL IS FOUND LIABLE IN RESPECT OF ANY LOSS, DAMAGE OR CAUSE OF ACTION (WHETHER CONTRACTUAL, EXTRA-CONTRACTUAL OR OTHERWISE) ARISING OUT OF OR IN CONNECTION WITH ANY SERVICES, ARL’S LIABILITY SHALL BE STRICTLY LIMITED TO THE AMOUNT RECEIVED BY ARL FROM YOU FOR THAT SERVICE.

SUPPLIERS

ARL, its employees, members, agents, and representatives use third party suppliers to arrange tours, transportation, sightseeing, lodging, and all other services related to the offered trips. ARL is an independent contractor and is not an employee, agent, or representative of any of these suppliers. ARL does not own, manage, operate, supervise, or control any transportation, vehicle, airplane, hotel, or restaurants, or any other entity that supplies services related to your trip. All suppliers are independent contractors and are not agents or employees or representatives of ARL. All tickets, receipts, coupons, and vouchers for services provided by suppliers are issued subject to the terms and conditions of each supplier. By accepting or using such tickets, coupons, vouchers, or the supplier’s services, all travelers acknowledge and agree that neither ARL, nor its employees, agents, or representatives, shall be liable for any loss, injury, or damage to travelers or their belongings, whether direct or indirect, arising from or in connection with any services provided or not provided by the suppliers.

MISCELLANEOUS

These Terms shall constitute the entire agreement between you and Sassy Saints. The invalidity or unenforceability, in whole or in part, of any provision of these Terms shall not affect the validity or enforceability of any other provision hereof or any other term of the remaining Terms. The headings contained herein are for purposes of convenience only and shall not control or affect the meaning or construction hereof.
